SyllaCourse provides an AI-powered platform for educators to generate, organize, and export educational course content. Our services include:

• Promptly notify us of any unauthorized access or security breach
• Take responsibility for all activities under your account

5. Credits and Payment

SyllaCourse operates on a credit-based system:

All prices are listed in Canadian Dollars (CAD) and are subject to applicable taxes. Payment processing is handled by Stripe, our secure third-party provider.

• Credits are used to export courses and generate content
• Credits have no cash value and are non-transferable
• Purchased credits do not expire
• Refunds are provided at our discretion in accordance with applicable consumer protection laws

6. User Content and Ownership

You retain ownership of all content you upload to SyllaCourse, including syllabi, reference materials, and course configurations.

By uploading content, you grant us a limited license to process and temporarily handle your content solely for the purpose of providing the requested service. We do not claim ownership of your content or of any AI-generated material produced from your inputs.

You represent that you have the necessary rights to upload any content and that it does not violate any third-party rights or applicable laws.

If you are uploading content on behalf of an educational institution or organization, you confirm that you have obtained the necessary permissions and authorizations from the rights holder(s) to use, reproduce, and process such content through our platform.

7. AI-Generated Content

SyllaCourse uses Google Gemini AI securely and confidentially to generate educational content. Important considerations:

• AI-generated content should be reviewed before use in educational settings
• We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content
• You are responsible for ensuring generated content meets your institution's standards and requirements
• AI-generated citations should be verified for accuracy

8. Acceptable Use

You agree not to use SyllaCourse to:

• Generate or distribute harmful, offensive, or inappropriate content
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Attempt to reverse engineer or disrupt our services
• Use the service in ways that could damage or impair our infrastructure
• Use automated means (bots, scrapers, crawlers, or similar technologies) to extract, scrape, or collect data or content from our platform without prior written authorization

9. Privacy and Data Protection

Your use of SyllaCourse is also governed by our Privacy Policy. We process personal data in accordance with applicable privacy laws, including PIPEDA (Canada) and GDPR (EU) where applicable.

10. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access if you violate these Terms or for any other legitimate reason.

Upon termination:

• Your content may be deleted from our servers
• Unused credits are forfeited unless otherwise required by law

11. Indemnification

You agree to indemnify, defend, and hold harmless SyllaCourse Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to:

• Your use of the platform and any content you upload, generate, or distribute through our services
• Any claim that content you uploaded or generated through the platform infringes or violates the intellectual property rights, privacy rights, or other rights of any third party

• Any unauthorized use of third-party content, including but not limited to copyrighted materials, uploaded without proper authorization

12. Limitation of Liability

To the maximum extent permitted by law, SyllaCourse Inc. and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services.

Our total liability for any claim arising from these Terms shall not exceed the amount you paid for our services in the 12 months preceding the claim.

13. Governing Law

These Terms are governed by the laws of the Province of New-Brunswick, Canada. Any disputes shall be resolved in the courts of New-Brunswick.

14. Changes to These Terms
